Plain-language summary

This agreement governs your subscription to MK Assist. It sets out the services provided, your responsibilities, fees, data protection, acceptable use, suspension, termination and the relationship between Stonda (Pty) Ltd and your business.

1. Parties and acceptance

This Master SaaS Agreement is entered into between Stonda (Pty) Ltd, registration number 2020/843851/07 ("MK Assist"), and the business that accepts these terms ("Client"). By creating a workspace, subscribing or using the paid service, the Client accepts this agreement together with the Order Form and incorporated schedules, including the Subscription Terms, Data Processing Agreement, Acceptable Use Policy and related documents published in the Legal & Trust Centre.

The person accepting must have authority to bind the Client. MK Assist is a business-to-business service only.

2. Service description

MK Assist provides a software service that helps businesses respond to customer enquiries on WhatsApp using approved business knowledge, with human handover where configured. The service depends on Meta's WhatsApp Business Platform and the Client's authorised WhatsApp assets.

MK Assist does not guarantee uninterrupted service, perfect accuracy or a particular commercial outcome. The Client remains responsible for customer relationships, lawful marketing, pricing, refunds, complaints handling and decisions that require human judgement.

3. Client responsibilities

The Client must provide accurate business information, maintain approved knowledge, configure handover appropriately, ensure staff are trained, obtain required customer consents, comply with POPIA and sector rules, and keep account credentials secure.

The Client must not upload unlawful, misleading, infringing or harmful content, and must not use MK Assist for restricted business categories described in the Acceptable Use Policy.

4. Fees and plans

Fees, included allowances and plan features are described in the Subscription Terms and current pricing page. Prices are in South African rand unless otherwise stated in a signed Order Form.

Meta message charges are separate. Additional users, higher usage requirements and custom integrations will be quoted separately.

5. Trial and activation

A 14-day trial may be offered as described in the Subscription Terms. The trial begins only when the workspace is activated for real customer conversations after MK Assist review and confirmation.

6. Data protection

Personal information is handled under the Website and Platform Privacy Notice and the Data Processing Agreement. The Client is responsible for lawful collection and use of customer information and for providing appropriate notices to customers.

7. Suspension and termination

MK Assist may suspend or terminate access for non-payment, security risk, unlawful use, Meta enforcement action or material breach. The Client may cancel under the Subscription Terms. Export and deletion rights are described in the Data Rights schedule.

8. Liability and governing law

Liability is limited to the extent permitted by law and as set out in the incorporated schedules. This agreement is governed by the laws of the Republic of South Africa. Disputes should first be raised through the Complaints and Escalation process.
